Terms of Use (ToU)

1. Preamble

These General Terms of Use and Sale (the "Terms") govern access to, use of, and subscription to the services offered under the STRATEZE brand, notably accessible via www.strateze.com.

The STRATEZE website and services are published and operated by:

2. Definitions

• Client: any legal entity or professional using or subscribing to STRATEZE services.
• User: any person authorized by the Client to access the services.
• Services: STRATEZE software solutions provided in SaaS mode (ERP/PGI).
• Platform: the software environment accessible online.
• Contract: these Terms together with the associated contractual documents.

3. Purpose

STRATEZE provides integrated management solutions (ERP/PGI) enabling in particular:

• sales management,
• production,
• maintenance,
• subcontracting,
• electronic invoicing,
• multi-company management and performance indicators (KPIs).

These Terms define the conditions of access, use and sale of these services.

4. Access to services

• Access to STRATEZE services is reserved for professionals.
• Use requires an Internet connection, a compatible environment, and personal credentials provided to the Client.
• The Client is responsible for the confidentiality of access and how it is used.

5. Service description

Services are provided in SaaS mode and include, among others:

• unified master data,
• user rights and role management,
• multi-company management,
• subcontracting management,
• electronic invoicing,
• dashboards and KPIs.

The exact features depend on the subscribed offer (Micro-Systems / Systems-Expert).

6. Subcontracting and integrations

STRATEZE enables the management and steering of subcontracting (orders, tracking, costs, deadlines). Certain features may rely on third-party services or integrated web services. RV ENGINEERI LTD cannot be held responsible for interruptions or malfunctions attributable to such third-party services.

7. Financial terms (Sales)

7.1 Pricing

Prices are expressed excluding taxes and are communicated by quotation, price list, or specific contract.

7.2 Payment terms

Services are invoiced by subscription and/or license and/or specific services. Invoices are payable according to the conditions indicated in the contract.

7.3 Late payment

Any late payment may result in service suspension, legal penalties, or contract termination.

8. Electronic invoicing

STRATEZE integrates electronic invoicing features in compliance with applicable regulations. The Client remains responsible for the final compliance of its tax and accounting obligations.

9. Client obligations

The Client undertakes to:

• use the services in accordance with the law,
• not compromise system security,
• ensure the accuracy of entered data,
• hold the necessary authorizations for the processed data.

10. Data and GDPR

Personal data is processed in accordance with the GDPR. The Client retains ownership of its data. STRATEZE acts as a processor within the meaning of the GDPR unless stated otherwise.

11. Intellectual property

STRATEZE, its software, architectures, interfaces, databases and trademarks are the exclusive property of RV ENGINEERI LTD. No intellectual property rights are transferred to the Client.

12. Liability

STRATEZE is subject to a best-efforts obligation. RV ENGINEERI LTD cannot be held responsible for data loss attributable to the Client, interruptions beyond its control, indirect damages or loss of business.

13. Term – Termination

The contract is concluded for the duration provided in the subscribed offer. Each party may terminate in case of serious breach after formal notice remains without effect.

14. Suspension of services

STRATEZE reserves the right to suspend access in case of non-payment, abusive use, or threat to system security.

15. Force majeure

Neither party shall be held liable in the event of force majeure within the meaning of applicable law.

16. Changes to the Terms

RV ENGINEERI LTD reserves the right to modify these Terms. New versions apply as soon as they are published online.

17. Applicable law – Jurisdiction

These Terms are governed by English law. Any dispute shall fall within the exclusive jurisdiction of the courts of the registered office of RV ENGINEERI LTD, unless mandatory provisions provide otherwise.

18. Acceptance

Use of STRATEZE services constitutes full and complete acceptance of these Terms.
